Terms of Service

These Terms of Service (“Terms”) govern access to and use of invorush.com and org.invorush.com (together, the “Platform”) and the services made available through the Platform, namely B2B invoice discounting, supply chain finance (vendor finance), bulk payments, and structured financing with cards (collectively, the “Services”). The Platform is operated by Sapphiro Consulting Solutions Pvt. Ltd. (“InvoRush”, “Sapphiro”, “Company”, “we”, “us”, or “our”), a company having its registered office at Globsyn Crystals Building, 4th Floor, Salt Lake, Sector V, Kolkata, West Bengal 700091, India

These Terms are an electronic record under the Information Technology Act, 2000 and rules made thereunder, and are published in accordance with Rule 3(1)(a) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021. This electronic record is generated by a computer system and does not require any physical or digital signature.

By accessing the Platform, registering for an account, or availing any Service, you (“you”, “your”, “User”) agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference. If you are accessing the Platform on behalf of a business entity, you represent that you have the authority to bind that entity, in which case “you” refers to that entity. If you do not agree to these Terms, you must not access or use the Platform.

1. Eligibility

The Platform and Services are intended for use by businesses and their duly authorised representatives, and are not directed at, or intended for use by, individuals under the age of 18. By using the Platform, you represent that you are at least 18 years of age, are duly authorised to act on behalf of the business entity you represent, and have the power and authority to enter into and perform obligations under these Terms.

2. Information We Collect

InvoRush is a technology-driven marketplace that connects businesses (“Anchors”, “Buyers”, “Suppliers”, or “Vendors”, as applicable) with banks, non-banking financial companies (NBFCs), and payment and technology partners (collectively, “Lending Partners”) to facilitate.

  • B2B Invoice Discounting;
  • Supply Chain Finance (Vendor Finance);
  • B2B Bulk Payments; and
  • Structured Financing with Cards.

InvoRush is a technology facilitator and marketplace, not a bank, NBFC, or lender. We do not ourselves extend credit, accept deposits, or guarantee any financing outcome. All lending, discounting, and financing decisions — including credit assessment, sanction, disbursal, pricing, and recovery — are made solely by the relevant Lending Partner in accordance with its own policies and applicable law. Any agreement for financing is a bilateral arrangement between you and the relevant Lending Partner, and InvoRush is not a party to, and assumes no liability under, that agreement.

We reserve the right to add, modify, suspend, or discontinue any Service or feature of the Platform, temporarily or permanently, with or without notice, and shall not be liable for any such addition, modification, suspension, or discontinuation.

3. Account Registration and KYC/KYB

To access certain Services, you will need to register for an account and complete our Know-Your-Business (KYB) and Know-Your-Customer (KYC) process, which may require you to provide information and documents including but not limited to: business name and constitution, GSTIN, PAN, CIN, certificate of incorporation, authorised-signatory identity proof, bank account details, and financial and transaction records.

You warrant that all information and documents you provide are true, accurate, current, and complete, and you agree to promptly update your account information if it changes. Providing false, inaccurate, or outdated information may result in suspension or termination of your account. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account, and agree to notify us immediately at support@invorush.com of any unauthorised use of your account.

4. Use of the Platform

You agree to use the Platform only for lawful purposes connected with your genuine business financing needs, and agree that you shall not, and shall not attempt to:

  • interrupt, disable, or attempt to intrude into the servers or systems hosting the Platform;
  • use any automated software, bot, scraper, or similar mechanism to access, navigate, or extract data from the Platform;
  • collect the contact information of other Users without authorisation, or use the Platform to sell, cross-sell, or distribute services to third parties;
  • share your login credentials or allow multi-user access to your account without our authorisation;
  • upload, transmit, or share any information that is unlawful, defamatory, obscene, infringing of third-party rights, or that impersonates any person or entity;
  • introduce viruses, malware, or other code designed to interrupt, damage, or limit the functionality of the Platform or any computer resource;
  • reverse-engineer, decompile, or attempt to discover the source code of the Platform, except to the extent expressly permitted by applicable law; or
  • use the Platform or Services in furtherance of money laundering, terrorist financing, fraud, or any other illegal activity.

Any transaction or attempted transaction that you become aware of that violates these Terms, our Privacy Policy, or applicable law should be promptly reported to us at support@invorush.com;

5. Fees and Payments

Certain Services may carry platform, processing, or convenience fees, which will be disclosed to you before you avail the relevant Service. Financing costs such as discount rates, interest, and processing charges levied by a Lending Partner are set by that Lending Partner and disclosed to you directly by them, typically in the relevant sanction letter or financing agreement. You agree to pay all applicable fees, duties, and taxes arising from your use of the Services, whether or not separately itemised.

6. Intellectual Property Rights

The Platform, including its design, look and feel, text, graphics, logos, and underlying software, is the property of InvoRush and/or its licensors and is protected by copyright, trademark, and other intellectual property laws. “InvoRush”, our logo, and related marks are the intellectual property of Sapphiro Consulting Solutions Pvt. Ltd. and may not be used without our prior written consent.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform solely to avail the Services for your own business purposes. You may not copy, modify, distribute, sell, lease, or create derivative works based on the Platform or its content, except as expressly permitted herein.

7. Your Content and Data

When you upload invoices, financial records, or other data to the Platform, you retain ownership of that data. You grant InvoRush, our Lending Partners, and our service providers a licence to host, use, copy, transmit, process, store, share, and analyse such data solely for the purposes of (a) enabling you to use the Platform and avail the Services, (b) evaluating and processing your financing requests through our Lending Partners, (c) improving and securing the Platform, and (d) complying with applicable law. You represent and warrant that you own, or have all necessary rights and consents to share, any data you upload, including any personal data relating to your employees, vendors, or customers.

Our collection, use, and disclosure of personal data is further described in our Privacy Policy.

8. Communications

By using the Platform, you consent to receive communications from us relating to your account, transactions, and Service updates via email, SMS, WhatsApp, phone calls, or push notifications, including to any mobile number registered with the Telecom Regulatory Authority of India's Do Not Disturb (DND) or National Do Not Call (NDNC) registry. You may opt out of promotional (but not transactional) communications at any time using the unsubscribe mechanism provided or by contacting support@invorush.com.

9. Third-Party Services and Links

The Platform may link to, or facilitate transactions with, third-party banks, NBFCs, payment gateways, and technology partners. These third parties are independent contractors and not agents or employees of InvoRush. We do not control, and are not responsible for, the acts, omissions, terms, or privacy practices of these third parties. Your use of any third-party service is governed by that party's own terms and policies, which we encourage you to review.

10. Disclaimers

THE PLATFORM AND SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY FINANCING REQUEST WILL BE APPROVED OR DISBURSED BY A LENDING PARTNER. INFORMATION ON THE PLATFORM, INCLUDING OUTPUTS OF THE ROI CALCULATOR, IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES ONLY AND DOES NOT CONSTITUTE FINANCIAL, LEGAL, OR TAX ADVICE; YOU SHOULD CONSULT YOUR OWN ADVISORS BEFORE MAKING ANY FINANCING OR BUSINESS DECISION

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVORUSH, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR SERVICES, INCLUDING ANY ACTS, OMISSIONS, DELAYS, OR FAILURES OF ANY LENDING PARTNER OR OTHER THIRD PARTY. OUR AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE PLATFORM FEES, IF ANY, PAID BY YOU TO INVORUSH IN THE THREE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless InvoRush, Sapphiro Consulting Solutions Pvt. Ltd., and their respective officers, directors, employees, and agents from and against any claims, losses, liabilities, damages, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your breach of these Terms; (b) your violation of any applicable law; (c) any inaccurate, incomplete, or misleading information or data you provide; (d) any dispute between you and a Lending Partner, Anchor, Supplier, or other third party; or (e) your misuse of the Platform or Services.

13. Term, Suspension, and Termination

These Terms remain in effect for as long as you use the Platform or Services. We may suspend or terminate your access to the Platform, without notice, if we reasonably believe that you have breached these Terms, provided false or unverifiable information, engaged in fraudulent or unlawful conduct, or if required to do so by a Lending Partner or regulatory authority. You may stop using the Platform at any time. Termination does not relieve you of obligations (including payment obligations) that accrued before termination, and provisions of these Terms that by their nature should survive termination (including Sections 6, 7, 10, 11, 12, and 15) shall survive.

14. Confidentiality

Each party agrees to keep confidential any non-public business, financial, or technical information disclosed by the other party in connection with the Services, and to use such information solely for the purposes contemplated by these Terms, except where disclosure is required by law, regulation, or a competent authority, or is necessary to a Lending Partner, professional advisor, or service provider bound by confidentiality obligations.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising out of or in connection with these Terms shall first be referred to good-faith negotiation between the parties. If unresolved within 30 days, the dispute shall be referred to and finally resolved by arbitration in Kolkata, West Bengal, under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by InvoRush. The seat and venue of arbitration shall be Kolkata, and the language of the arbitration shall be English. Subject to the foregoing, the courts at Kolkata, West Bengal shall have exclusive jurisdiction over all matters arising out of or relating to these Terms.

16. Miscellaneous

16.1 Modifications to These Terms

We may amend these Terms from time to time to reflect changes in our practices, technology, or legal requirements. The “Last updated” date at the top of these Terms indicates when they were most recently revised. Your continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

16.2 Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, fire, flood, war, governmental action, labour disputes, or failure of third-party (including Lending Partner) systems or infrastructure.

16.3 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms, in whole or in part, to any affiliate or successor entity without your consent.

16.4 Severability

If any provision of these Terms is held invalid or unenforceable, that provision shall be deemed severed, and the remaining provisions shall continue in full force and effect.

16.5 Entire Agreement

These Terms, together with our Privacy Policy and any Service-specific agreements you enter into with us or a Lending Partner, constitute the entire agreement between you and InvoRush regarding the Platform and Services, and supersede all prior understandings on the subject.

16.6 Notices

Notices to InvoRush should be sent in writing to the address in Section 17. We may provide notices to you via email, SMS, or by posting on the Platform.
